Terms of Service
These Terms of Service (hereinafter referred to as the "Terms") establish the terms and conditions for the use of the online shop (hereinafter referred to as the "Service") provided by S&D Co., Ltd. (hereinafter referred to as the "Company") on this website. Users (hereinafter referred to as "Users") are requested to use the Service in accordance with these Terms.
Article 1 (Application)
These Terms shall apply to all relationships related to the use of the Service between the User and the Company.
The Company may establish various regulations (hereinafter referred to as "Individual Provisions"), including rules for using the Service, in addition to these Terms. Regardless of their name, these Individual Provisions shall constitute a part of these Terms.
In the event of any inconsistency between the provisions of these Terms and those of the Individual Provisions in the preceding paragraph, unless otherwise specified in the Individual Provisions, the provisions of the Individual Provisions shall take precedence.
Article 2 (User Registration)
In the Service, registration applicants shall apply for user registration by agreeing to these Terms and following the procedures specified by the Company. User registration shall be completed when the Company notifies the registration applicant of its approval.
The Company may not approve an application for user registration if it determines that the applicant falls under any of the following reasons and shall not be obliged to disclose the reason for such non-approval:
- If false information is provided in the application for user registration.
- If the applicant has previously violated these Terms.
- If the Company deems the registration inappropriate for any other reason.
Article 3 (Management of User ID and Password)
Users shall be responsible for managing their user ID and password for the Service.
Under no circumstances may Users transfer, lend, or share their user ID and password with third parties. If a combination of a user ID and password matches the registration information and is logged in, the Company will regard it as use by the user who registered the user ID.
The Company shall not be liable for any damages arising from the unauthorized use of a user ID and password by a third party, except in cases where there is intentional or gross negligence on the part of the Company.
Article 4 (Sales Agreement)
In the Service, a sales agreement shall be concluded when a User applies for purchase to the Company, and the Company notifies the User of the acceptance of such application. Ownership of the relevant product shall be transferred to the User when the Company delivers the product to the delivery company.
The Company may revoke the sales agreement in the preceding paragraph without prior notice to the User if the User falls under any of the following reasons:
- If the User has violated these Terms.
- If delivery of the product cannot be completed due to an unknown delivery destination or prolonged absence.
- If the trust relationship between the Company and the User is deemed to be compromised for any other reason.
Payment methods, delivery methods, cancellation methods for purchase applications, and return methods regarding the Service shall be determined separately by the Company.
Article 5 (Intellectual Property Rights)
The copyright and other intellectual property rights of the contents, including product photographs provided by the Service (hereinafter referred to as "Contents"), belong to legitimate rights holders such as the Company and content providers. Users may not reproduce, reprint, modify, or otherwise use the Contents without permission.
Article 6 (Prohibited Matters)
Users shall not engage in the following acts when using the Service:
- Acts that violate laws or public order and morals.
- Acts related to criminal activities.
- Acts that infringe copyrights, trademark rights, or other intellectual property rights included in the Service.
- Acts that disrupt or interfere with the functionality of the Company's servers or networks.
- Acts of using information obtained through the Service for commercial purposes.
- Acts that may hinder the operation of the Company's services.
- Unauthorized access or attempted access.
- Acts of collecting or accumulating personal information of other users.
- Impersonation of other users.
- Acts directly or indirectly providing benefits to antisocial forces in connection with the Company's services.
- Any other acts deemed inappropriate by the Company.
Article 7 (Suspension of Service Provision, etc.)
The Company may suspend or interrupt all or part of the provision of the Service without prior notice to the User if it determines that any of the following reasons apply:
- Maintenance, inspection, or update of the computer system for the Service.
- Natural disasters such as earthquakes, lightning, fires, power outages, or other force majeure events making it difficult to provide the Service.
- Suspension of computer or communication lines due to accidents.
- Any other reason the Company deems it difficult to provide the Service.
The Company shall not be liable for any disadvantages or damages incurred by the User or a third party due to the suspension or interruption of the provision of the Service, regardless of the reason.
Article 8 (Restriction of Use and Deregistration)
The Company may restrict the use of all or part of the Service or deregister a User without prior notice if any of the following apply:
- Violation of any provision of these Terms.
- Discovery of false facts in the registration information.
- Suspension of the credit card provided by the User as a payment method.
- Non-performance of payment obligations such as fees.
- Failure to respond to communication from the Company for a certain period.
- No use of the Service for a certain period since the last use.
- Any other reason the Company deems the use of the Service inappropriate.
The Company shall not be liable for any damages incurred by the User as a result of the actions taken by the Company based on this article.
Article 9 (Withdrawal)
Users may withdraw from the Service through the prescribed withdrawal procedure.
Article 10 (Disclaimer and Limitation of Liability)
The Company does not guarantee that the Service is free from defects (including defects in safety, reliability, accuracy, completeness, effectiveness, suitability for a specific purpose, security, etc.) in fact or law.
The Company shall not be liable for any damages incurred by the User due to the Service. However, if the contract between the Company and the User regarding the Service (including these Terms) constitutes a consumer contract as defined in the Consumer Contract Act, this disclaimer provision shall not apply. Even in this case, the Company shall not be liable for damages caused to the User due to the Company's negligence (excluding gross negligence) in breach of contractual obligations or torts.
The Company shall not be responsible for any transactions, communications, or disputes arising between Users or between Users and third parties regarding the Service.
Article 11 (Changes to the Service Content, etc.)
The Company may change the content of the Service or suspend the provision of the Service without notifying the User, and shall not be liable for any damages incurred by the User as a result.
Article 12 (Changes to the Terms of Use)
The Company may change these Terms at any time without prior notice to the User if it deems it necessary. After the change of these Terms, if the User starts using the Service, the User shall be deemed to have agreed to the revised Terms.
Article 13 (Handling of Personal Information)
The Company shall handle personal information obtained through the use of the Service appropriately in accordance with the Company's "Privacy Policy."
Article 14 (Notification or Contact)
Notifications or contacts between the User and the Company shall be made according to the method specified by the Company. The Company shall deem the currently registered contact information as valid unless the User notifies a change according to the method separately specified by the Company, and communications sent to such contact information shall be deemed to have reached the User at the time of transmission.
Article 15 (Prohibition of Assignment of Rights and Obligations)
The User may not assign its contractual status or rights or obligations under these Terms to a third party without the prior written consent of the Company, or provide them as collateral.
Article 16 (Governing Law and Jurisdiction)
These Terms shall be governed by Japanese law. However, with respect to the Service, the application of the United Nations Convention on Contracts for the International Sale of Goods shall be excluded.
In the event of any dispute arising concerning the Service, the exclusive jurisdictional court shall be the court having jurisdiction over the location of the Company's head office.
